1. Acceptance of Terms
By accessing or using the services provided by Trackgood Limited ("Trackgood," "we," "us," or "our"), including our website, applications, and any related services(collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, available at www.trackgood.io/privacy-policy.If you do not agree to these Terms or the Privacy Policy, please do not use our Services.
2. Eligibility
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement.
3. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by updating the "Effective Date" at the top of this document. Your continued use of the Services after any changes indicates your acceptance of the new Terms.
4. Use of Services
4.1. Scan to Earn and Referral Program
- Prohibited Conduct: The use of automation tools, bots, scripts, or any artificial means to interact with the Scan to Earn feature or any other part of our Services is strictly prohibited.
- Enforcement: We reserve the right, at our sole discretion, to invalidate scans or activities deemed to be conducted in bad faith or through abusive means. This includes revoking points or rewards and suspending or terminating accounts involved in such activities.
- Referral Program Limitations: Each user is limited to a maximum of 100 referrals. We reserve the right to cancel or disqualify any referrals or referrers suspected of violating the referral program terms or engaging in fraudulent activities.
4.2. Points Program
- No Monetary Value: Points accumulated through our Services have no cash value and cannot be redeemed for cash or any monetary equivalent.
- No Guarantees: We make no guarantees regarding the value, utility, or transferability of points. We reserve the right to modify, suspend, or terminate the points program at any time without notice.
5. Subscription Services
5.1. Billing and Payment
- Subscription Plans: Access to certain features of our Services may require a subscription. Details of available plans and pricing are provided on our website.
- Payment Processing: Payments are processed through third-party services such as Stripe. We do not store or share any personal or financial information associated with a payment.
- Automatic Renewal: Subscriptions may automatically renew at the end of each billing cycle unless canceled prior to renewal. You can manage your subscription settings through your account.
5.2. Cancellation and Refunds
- Cancellation: You may cancel your subscription at any time. Your cancellation will be effective at the end of your then-current subscription period.
- Refunds: Except as may be expressly set forth herein, all fees paid or accrued in connection with any Services are non-refundable, and we will not prorate any fees paid for a subscription that is terminated before the end of its term.
6. Custodial Web3 Wallets
- No Guarantees: We provide custodial Web3 wallets for user convenience but do not guarantee their security, functionality, or availability.
- User Responsibility: Users are solely responsible for backing up their private keys and any associated credentials. We are not liable for any loss, theft, or unauthorized access to users' wallets or digital assets.
7. Beta Software Disclaimer
- Beta Status: Our Services are currently in a beta phase and may contain bugs, errors, or other issues that could affect functionality.
- No Warranty: We provide the Services "as is" and without any warranties, express or implied. Users assume all risks associated with the use of beta software.
8. Trai Token Disclaimer
- Utility Token: The Trai token, operating on the Base Layer 2 network, is intended solely as a utility token to access certain features within the Trackgood platform.
- No Investment Intent: The Trai token is not designed or intended to be an investment vehicle. We make no representations or warranties regarding the potential value, appreciation, or return on investment of the Trai token.
9. AI-Generated Content and Disclaimers
9.1. Traicy AI Agent
- Automated Content: Traicy is an AI-powered agent that generates content and responses automatically. We do not entirely control or influence the outputs produced by Traicy.
- No Liability: We disclaim all liability for any content generated by Traicy. Users should exercise discretion and not rely solely on AI-generated content for decision-making purposes.
9.2. ESG LLM Data
- AI-Generated Data: The Environmental, Social, and Governance (ESG) data provided by our Large Language Model (LLM) is generated using AI and may incorporate data from the Scan to Earn feature and third-party sources.
- No Guarantees: We do not guarantee the authenticity, accuracy, or completeness of ESG data.
10. User Conduct and Content
10.1. Respectful Interactions
We encourage all users to engage respectfully with our Services, including interactions with our AI agent, Traicy, and other users. Harassment, hate speech, or any form of abusive behavior is strictly prohibited and may result in suspension or termination of access to our Services.
10.2. Prohibited Conduct
Users agree not to:
- Violate any applicable laws, regulations, or third-party rights.
- Transmit any malicious code, software, or data that may harm our Services or other users.
- Spread misleading or deceptive information with the intent to manipulate or confuse.
- Solicit personal or sensitive information from other users or our AI agent.
- Engage in any activity that interferes with, disrupts, or imposes an undue burden on our infrastructure or related services.
10.3. User-Generated Content
By providing prompts, feedback, suggestions, or other content to our Services, you grant Trackgood a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute such user-generated content for the purpose of improving our Services and developing new features.
11. Data Processing and Privacy
11.1. Use of User Data for Analytics and Error Tracking
We may process user data—including usage data, query logs, and other related information—for analytics, performance measurement, quality assurance, and error tracking purposes. Such data may be processed on third-party platforms and services to help us identify and resolve issues, improve our models, and enhance the overall user experience.

By providing content to our Services, you grant us anon-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute such content for the purpose of improving our Services and developing new features.
13. Termination
We reserve the right to suspend or terminate your access to our Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of our Services, us, or third parties, or for any other reason.
14. Limitation of Liability
To the maximum extent permitted by law, Trackgood shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Services.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.
